1. About Alsyst

These Terms and Conditions ("Terms") govern your access to and use of the Alsyst platform, website, and related services (collectively, the "Service") operated by Alsyst SAS, a company incorporated under French law ("Alsyst", "we", "us").

By signing up for early access or using any part of the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

2. Pre-launch status

Alsyst is currently in a pre-launch phase. The platform you access is a preview and prototype - it does not yet execute tasks, charge tokens, or operate as described in the full product vision.

• Features shown are illustrative of the planned product
• No tasks will run and no tokens will be charged during the pre-launch phase
• Early access does not guarantee continued or permanent access
• The platform may be modified, paused, or discontinued at any time

We will notify you by email before any material changes that affect your data or access rights.

3. Eligibility

To use Alsyst you must be:

• At least 16 years old (or the age of digital consent in your jurisdiction)
• Using the Service for lawful business purposes
• Not located in a jurisdiction where use of such services is prohibited

4. Your account

When you sign up you provide your name, email, and project information. You are responsible for keeping this information accurate. You may not share your access or impersonate another person.

We reserve the right to suspend or terminate access to any account that violates these Terms, at our sole discretion and without notice where necessary to protect users or the platform.

5. Waitlist and access

Signing up places you on the Alsyst waitlist. Being on the waitlist does not guarantee access to the platform or any particular timeline. We will notify you by email when your wave of access opens.

Accepted users will receive $20 in starter tokens upon account activation. Token pricing, pack structures, and billing terms will be communicated before any charges are made.

6. Acceptable use

You agree not to:

• Use the Service for any unlawful purpose or to violate any laws
• Attempt to reverse engineer, scrape, or extract data from the platform
• Impersonate Alsyst, its team, or any other user
• Upload or transmit malicious code, viruses, or harmful content
• Use automated tools to interact with the Service without our written consent
• Resell or sub-licence access to the Service

7. Intellectual property

All intellectual property in the Alsyst platform, AI models, brand, design, and content belongs to Alsyst SAS or its licensors. Nothing in these Terms transfers ownership to you.

You retain full ownership of any content or data you provide to the Service ("Your Content"). By providing Your Content, you grant Alsyst a limited, non-exclusive licence to use it solely to provide and improve the Service for you. We do not use your content to train models shared with other users without your explicit consent.

8. Token model (when live)

When the Service launches fully:

• Tasks will be priced in tokens; costs are displayed before any task runs
• Tokens are non-refundable once consumed by a completed task
• Unused tokens may be refunded within 14 days of purchase, subject to our refund policy
• Token prices may change with reasonable notice

Detailed token and billing terms will be provided before the full launch.

9. Disclaimers

The Service is provided "as is" and "as available". To the maximum extent permitted by applicable law, Alsyst disclaims all warranties, express or implied, including fitness for a particular purpose, accuracy, and non-infringement.

We do not guarantee that the AI outputs will be accurate, complete, or suitable for any specific purpose. All AI-generated content should be reviewed by you before use. You are responsible for decisions made based on the platform's outputs.

10. Limitation of liability

To the maximum extent permitted by law, Alsyst's total liability to you for any claims arising from these Terms or the Service will not exceed the amount you paid to Alsyst in the 12 months preceding the claim (or EUR100 if you paid nothing).

We are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by French law.

11. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

12. Changes to these Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date and notify you by email if changes are material. Continued use of the Service after the effective date constitutes acceptance.

13. Termination

You may stop using the Service at any time. To delete your account and data, email privacy@alsyst.com.

We may terminate your access if you breach these Terms, with or without notice depending on severity.

14. Governing law and disputes

These Terms are governed by French law. Any disputes shall be subject to the exclusive jurisdiction of the courts of Paris, France, unless mandatory consumer protection laws in your country of residence provide otherwise.

If you are an EU consumer, you may also use the EU Online Dispute Resolution platform at ec.europa.eu/odr.
